Capital Formation

1) Sponsor Equity

We structure side-car SPVs or a portfolio hold-co to ring-fence asset cash flows and enable programmatic scale across 1–25 MW sites. Terms address waterfalls (pref, catch-up, carry), step-in rights, and ROFR/ROFO to support repeatable deployments. We coordinate governance (IC cadence, major decisions), align milestones (NTP/COD), and pre-clear bankability (warranties, O&M, interconnection) to reduce diligence friction. Documentation packages are data-room ready, including cap tables, model notes, and closing checklists.

2) Tax Equity — Transferable Credits (§48, §45X where applicable)

For PV and standalone BESS, we target §48 ITC (30% base) with bonus adders where achievable (e.g., Domestic Content, Energy Community). We run credit transfer processes end-to-end: IRS registration, buyer outreach, pricing discovery, tax insurance for recapture, and funds flow at COD or placed-in-service. Where §45X benefits are realized in the supply chain, we capture value via vendor pricing or side agreements. Deliverables include legal/tax opinions coordination, purchase agreements, and a transfer timeline with compliance checkpoints.

3) Debt & Enhancements — USDA, DFC, Local Wraps

We arrange senior construction/term debt with USDA guarantees (e.g., B&I/REAP-eligible use cases) to improve advance rates and lower coupons; evaluate DFC participation where projects tie to export-linked or regional development objectives; and pursue local loan-guarantee wraps to de-risk lenders. Packages include DSCR-based covenants, hedging where needed, and intercreditor terms compatible with tax credit transfers. We provide a lender deck, Class 3–4 cost-to-complete, EPC/O&M contract set, and a conditions-precedent tracker to accelerate credit approval.

4) Non-Dilutive — DoE, FEMA, PR Resiliency Grants

We layer grants aimed at resilience and hardening—e.g., DoE programs (grid resilience/innovation), FEMA (HMGP/BRIC/Public Assistance where applicable), and Puerto Rico resiliency funds—without tripping duplication-of-benefits. Our scope covers eligibility mapping, budget carve-outs (critical-load, islanding controls, hardening), timelines, and compliance (Uniform Guidance, BABA/domestic content). Outputs include narratives, SF-forms, benefit-cost analysis, and a reporting plan coordinated with lenders and equity.
